1. PURPOSE OF THIS AGREEMENT
The purpose of this agreement is to give the Franchise Owner the right to operate, promote, manage, and grow XPANDO's business in Falakata for the period mentioned in this agreement.
The Franchise Owner will work as the local business partner of XPANDO and will be responsible for growing the business in the assigned city through merchant onboarding, delivery management, customer growth, and local marketing activities.
This agreement explains the responsibilities of both the Company and the Franchise Owner and the rules that must be followed during the agreement period.
2. AGREEMENT PERIOD
This agreement will start on 15 June 2026 and will remain valid until 15 June 2027.
The agreement is valid for one (1) year only.
After the completion of one year, this agreement will automatically end.
If both parties wish to continue working together, a new agreement must be signed and approved by the Company.
Renewal is not automatic and will depend on the performance of the Franchise Owner during the agreement period.
3. FRANCHISE TERRITORY
The Franchise Owner is being appointed as the official XPANDO Franchise Owner for Falakata.
The Franchise Owner will focus on growing XPANDO's business within the city and nearby service areas approved by the Company.
The Company reserves the right to expand, modify, or reorganize service areas whenever required for business growth.
The Franchise Owner understands that ownership of the XPANDO brand, logo, software, applications, customer database, merchant database, and all intellectual property remains with the Company at all times.

5. RESPONSIBILITIES OF THE COMPANY

- 2 XPANDO Delivery Bags
- Shop Templates , Push Pull Strickers
- Hand Template
- Online Marketing Support
- Training & Guidance
- Technical Support
6. REVENUE SHARING
The Franchise Owner will receive 35% of the commission income generated from Falakata city operations.
The amount earned by the Franchise Owner depends on:
- Number of merchants onboarded
- Marketing activities performed
- Customer growth
- Number of orders generated
- Overall business performance
The Company does not guarantee any fixed sales, fixed income, fixed profit, or fixed number of orders.
The Franchise Owner understands that business success depends largely on their own efforts, marketing activities, merchant growth, and operational management.
7. MERCHANT COMMISSION POLICY
- 0% Commission for the first month for all newly onboarded merchants
- After completing one month on the platform, merchants will be charged a commission between:
15% to 20%
8. PAYMENT RULES
The Franchise Owner must ensure that merchants receive their payments on time .
9. FRANCHISE COST
₹0 (Zero Rupees for 1st Year)
- After the completion of one (1) year, the Franchise Agreement may be renewed upon payment of a renewal fee of ₹20,000 (Rupees Twenty Thousand Only), subject to mutual agreement and Company approval.
10. BUSINESS INVESTMENT
Investment depends on branding and business development activities.
11. NON-REFUNDABLE POLICY
All payments and investments are non-refundable.
12. BRANDING RULES
Only official XPANDO branding materials may be used.
13. PERFORMANCE REVIEW & TERMINATION
The Company will regularly monitor franchise performance.
If during the first 2 to 3 months, or at any time during the agreement period, the Company finds that:
- Merchant onboarding efforts are poor
- Orders are being missed
- Delivery operations are not being managed properly,
- Company instructions are being ignored,
- Local marketing activities are insufficient,
- Service quality is poor,
- Company policies are being violated,
the Company may issue warnings or terminate the franchise agreement.
If the franchise is terminated due to poor performance or policy violations:
- The Franchise Owner will lose all franchise rights.
- No investment amount will be refunded.
- The Company may appoint a new Franchise Owner for the Area.
14. CONFIDENTIALITY
Customer, merchant, revenue and operational information must remain confidential.
This includes:
- Customer data
- Merchant data
- Revenue information
- Commission structures
- Business reports
- Operational processes
- Internal systems
15. PLATFORM ACCESS
Access includes Customer App, Delivery App, Merchant Panel and Franchise Panel.
16. RENEWAL OF AGREEMENT
Renewal depends on performance and mutual agreement.
